Effective Date: December 15, 2025

By accessing the Marketing Materials Kit (“Kit”), you (“you,” “your,” or “User”) agree to the following terms with Össur Americas, Inc. and its affiliates (“Licensor”):

1. License Grant

• Subject to and conditions on User’s compliance with these terms, Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to access, view, and use the materials in the Kit (“Licensed Materials”) solely for your own sales and marketing activities related to Össur products within the Unites States and its territories.
• The license grant remains in effect only while you are actively promoting or selling Össur products and only for as long as Licensor permits. Licensor may revoke this license at any time, for any reason, in its sole discretion.
• You may not modify, edit, translate, create derivative works from, or otherwise alter the Licensed Materials.

2. Ownership and Reservation of Rights

• All rights, title, and interest in the Licensed Materials remain with Licensor.
• No ownership rights are transferred to you.

3. Attribution

• You must provide appropriate credit to Licensor (e.g., “©Össur” or “Courtesy of Össur”) whenever you use the Licensed Materials.
• You may not use Licensor’s trademarks, logos, or other intellectual property except as required for attribution.

4. Permitted Use and Restrictions

• You may only use the Licensed Materials as expressly permitted.
• You may not use the Licensed Materials in any way that is unlawful, defamatory, obscene, misleading, or that infringes on any third-party rights.
• You may not use the Licensed Materials to suggest sponsorship, endorsement, or association with any third party, or in a manner detrimental to Licensor.

5. Updates and Termination

• Licensor may update or withdraw the Licensed Materials at any time. If notified of updates, you must promptly use the updated materials or cease use of the outdated materials.
• Licensor may terminate your access at any time.
• Licensor may update these license terms at any time. If you cannot agree to or comply with the updated terms, you must immediately stop using and delete all Licensed Materials.

6. Disclaimer, Compliance with Laws, and Limitation of Liability

• The Licensed Materials are provided “as is.” Licensor disclaims all warranties, express or implied.
• You must comply with all applicable laws, rules, and regulations in connection with your use of the Licensed Materials, including marketing, advertising, and consumer protection laws. You agree to indemnify, defend, and hold harmless Licensor and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Licensed Materials in violation of these terms or applicable law.
• Licensor is not liable for any indirect, incidental, or consequential damages arising from your use of the Licensed Materials.

7. Governing Law

• These Terms are governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or relating to these Terms will be instituted in the federal or state courts, in each case located in Orange County, California, and User irrevocably submits to the jurisdiction of such courts in any such legal suit, action, or proceeding.
